1. Overview of Services

Business System Engineering provides AI-driven solutions, such as virtual assistants and process automation tools, designed to help businesses manage and streamline their operations. Our AI Voice Assistant is an intelligent system that answers calls, engages with customers, and helps convert leads into clients.

2. Use of Services

When you use our AI services, you agree to provide accurate, up-to-date information that will help us configure and personalize your AI assistant. You are responsible for the completeness and accuracy of the data you provide, including but not limited to:

- Company information

- Service descriptions

- Customer interaction preferences

- Personal details required to train the AI for your business needs

3. Trial and Subscription Services

We offer a 2-week trial for our AI Voice Assistant service. During the trial period, you can evaluate the performance of the AI assistant without any obligation to continue. If you choose to continue using the service after the trial period, a monthly subscription fee will apply, as per the terms agreed upon at sign-up.

4. User Responsibilities

You are responsible for ensuring that your use of our AI services complies with all applicable laws and regulations, including but not limited to:

- Data protection and privacy laws regarding the information provided to and processed by the AI

- Ensuring that your customers are aware when they are interacting with an AI system

- Proper use of the AI assistant to avoid inappropriate, illegal, or harmful activities

- The user agrees to provide consent or disclosure to their customers regarding AI interactions where required

- It is the user’s responsibility to verify and comply with any applicable laws in jurisdictions where they use the service

You also agree that any content or data shared with the AI does not infringe on third-party rights, including intellectual property or proprietary rights.

5. Usage Fees for AI Voice Assistant

By using our AI Voice Assistant service, you acknowledge and agree to the following usage fee structure:

Per-Minute Charge: For each call handled by the AI Voice Assistant, there is an additional fee of $0.12 - $0.17 per minute, depending on the AI configuration. This charge applies from the moment the AI begins handling the call until the call is completed.

Billing and Payment: The total call time will be calculated on a per-minute basis, and the corresponding fees will be billed to your account.

You agree to pay all fees associated with the AI Voice Assistant usage, as detailed in your invoice.

The billing increment is rounded up to the nearest minute. This will prevent any disputes over partial charges.

Automatic Payment: These usage fees will be automatically charged to your chosen payment method along with any subscription or service fees for the AI Voice Assistant.

Acknowledgment of Charges: By continuing to use the AI Voice Assistant service, you accept and agree to pay these additional usage fees as part of your service agreement with Business System Engineering and The Mind Engineer.

6. Data Privacy and Security

Your privacy is important to us, and we are committed to protecting your personal and business data. Business System Engineering and The Mind Engineer LLC employ reasonable industry-standard security measures, including data encryption, access controls, and regular security audits, to safeguard your information from unauthorized access, disclosure, or loss.

Data Collection and Use:

To provide and improve our AI services, we may collect, process, and store certain data that you provide. This information includes, but is not limited to, business details, customer interaction preferences, and any other data necessary for configuring and optimizing the AI assistant. We only collect data that is directly relevant to enhancing our services’ functionality and performance.

Data Storage and Retention:

We adhere to strict data retention policies, ensuring that personal and sensitive data is stored only for as long as required to support the functionality of our AI services. Unless expressly necessary, our services do not store sensitive data such as payment information, personal identifiers, or any data regulated under stringent privacy laws (e.g., Social Security numbers). Where sensitive data is required for functionality, it is processed in compliance with applicable laws and retained only for the minimum time necessary.

User Responsibility for Sensitive Data:

Please refrain from inputting highly sensitive information into the AI system, as our services are not designed to handle data classified under privacy regulations as sensitive or confidential. You are responsible for ensuring that no personally identifiable information or other sensitive data is input without proper consent and awareness of data handling practices.

Data Transfer and Third-Party Access:

Data shared with third-party providers (such as cloud service platforms) is subject to industry-standard security protocols, and third-party access is limited to service functionality only. Any such data transfers comply with applicable data protection regulations.

AI Performance and Limitations:

Our AI Voice Assistant and other AI-related products are designed to enhance customer interactions and streamline business processes. However, users should be aware that the AI may not perfectly interpret or respond to every query. The AI’s accuracy and functionality are dependent on the quality of input data, training configurations, and individual business use cases. Results may vary based on these factors, and we cannot guarantee the AI will achieve a 100% success rate in meeting business goals such as lead conversion or query resolution.

Data Input Restrictions:

To maintain system security and ensure compliance with applicable laws, we discourage users from inputting sensitive or confidential information, such as personally identifiable information (PII), protected health information (PHI), or any other data classified as sensitive under data protection laws. Examples of discouraged data include but are not limited to Social Security numbers, credit card details, health information, and other financial or personal identifiers. We shall not be liable for any errors, misinterpretations, or omissions in the AI’s responses, nor for any consequences arising from reliance on the AI for business or legal matters.

Limitations on Liability for Service Disruptions:

Due to the evolving nature of AI technology, temporary disruptions, maintenance periods, or system updates may occasionally impact the availability and performance of our services. We are not liable for any loss of business, revenue, or opportunity resulting from these interruptions. Users agree to maintain alternative communication methods and backups to prevent business disruptions during service outages.

Acknowledgment of AI Limitations:

By using our AI services, you acknowledge and accept these service limitations and disclaimers. Continued use of the services indicates your understanding that the AI system is a supportive tool, not a substitute for human oversight or professional judgment.

8. Intellectual Property

All intellectual property related to the AI Voice Assistant and other services, including but not limited to algorithms, software, and content, remains the sole property of Business System Engineering and The Mind Engineer LLC. You may not copy, distribute, or reverse engineer any part of the service without our express written consent.

9. Modifications to the Service and Terms

We reserve the right to modify, update, or discontinue any part of our services at any time. We may also update these Terms and Conditions periodically, and it is your responsibility to review them for any changes. Continued use of the services after changes are made constitutes your acceptance of the revised terms.

10. Termination

We reserve the right to suspend or terminate your access to our AI services at any time, without notice, if you violate these Terms and Conditions or engage in inappropriate use of the service (such as harassment, spamming, or using the AI for fraudulent activities).

11. Limitation of Liability

To the fullest extent permitted by applicable law, Business System Engineering, The Mind Engineer LLC, and their affiliates, officers, directors, employees, and agents (collectively, “we” or “us”) shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from or relating to your use of, or inability to use, our AI services. This includes, but is not limited to, loss of profits, revenue, business opportunities, data, goodwill, or other intangible losses, even if we have been advised of the possibility of such damages.

Cap on Direct Damages:

Our total liability for all claims arising from or related to these Terms and your use of the services shall be strictly limited to the total fees paid by you for the applicable services during the twelve (12) months immediately preceding the date of the claim. This limitation applies to all claims, including, but not limited to, claims based on breach of contract, tort, negligence, strict liability, or any other legal theory.

Exceptions to Limitations:

Notwithstanding the above, we do not seek to exclude or limit liability for damages arising from willful misconduct, fraud, or gross negligence. In jurisdictions where limitations on liability for certain types of damages are not allowed, some of these limitations may not apply to you. In such cases, our liability shall be limited to the maximum extent permitted by law.

Exclusions of Implied Warranties and Liability for Third-Party Services:

Our AI services are provided “as-is” and “as available,” without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title. We make no representations or warranties regarding the accuracy, reliability, completeness, or timeliness of our services.

Any interactions or services you may access from third-party providers while using our services are solely your responsibility, and we shall not be held liable for any loss or damage arising from those interactions. We disclaim any liability arising from third-party claims, user inputs, and unforeseen events beyond our control, such as cyberattacks, data breaches, or internet service interruptions.

User Acknowledgment and Risk Acceptance:

By using our services, you acknowledge and accept these limitations on liability. You agree that this limitation is an essential part of the Terms and forms the basis for setting the service fees, which would be higher without such limitations.

These Terms and Conditions, along with any disputes arising from or relating to your use of our services, shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

Jurisdiction and Venue:

Any legal action or proceeding arising under or in connection with these Terms shall be brought exclusively in the courts located in Wyoming, and you consent to the personal jurisdiction of such courts. You also agree to waive any objections to the venue and jurisdiction of these courts, including any defenses based on inconvenience of the forum.
